Terms & Conditions

These Terms & Conditions apply to the use of this website and to purchases made from Grounded Fox Ltd, trading as Roma Verandas ("Roma Verandas", "we", "us" or "our").

Our website and online store are hosted using Shopify, which provides the ecommerce platform that enables us to offer our products and services online. Contracts for products or services purchased from this website are between you and Grounded Fox Ltd, unless expressly stated otherwise.

Please read these Terms & Conditions carefully before placing an order. They explain your rights and responsibilities and form part of the agreement between you and us.

These Terms should be read alongside our Privacy Policy, Shipping & Delivery Policy and Refund Policy.

Nothing in these Terms affects any statutory rights that you have as a consumer under applicable UK law.

Section 1 - Using Our Website

By using this website, you agree to use it only for lawful purposes and in a way that does not infringe the rights of, restrict or inhibit the use of this website by another person.

If you create an account, you are responsible for keeping your login details secure and for providing accurate, current and complete information.

You must be at least 18 years old to place an order through our website.

Section 2 - Our Products

We take reasonable care to ensure that product descriptions, specifications, measurements, photographs and other information displayed on our website are accurate.

However, product images and visualisations may be illustrative. Colours and finishes may appear differently depending on your device, screen settings, lighting conditions and the natural characteristics of the materials used.

Products may also be subject to reasonable manufacturing tolerances and minor specification changes that do not materially affect their function, appearance or quality.

We reserve the right to update specifications, product information and availability from time to time.

Nothing in this section affects your statutory rights where goods are faulty, not as described, not fit for purpose or not of satisfactory quality.

Section 3 - Orders & Contract Formation

When you place an order through our website, accept a quotation or otherwise instruct us to proceed, you are making an offer to purchase the relevant goods or services.

Receipt of an order or payment does not necessarily mean that your order has been accepted. A contract is formed when we confirm acceptance of your order or otherwise confirm that we are proceeding with it.

We may refuse or cancel an order before acceptance where, for example:

  • A product is unavailable;
  • There has been an obvious pricing or description error;
  • We are unable to obtain authorisation for payment;
  • We cannot reasonably deliver to the address provided; or
  • We identify another legitimate reason why we cannot fulfil the order.

If we are unable to accept an order after receiving payment, we will refund any amount paid for goods or services that we cannot supply.

Section 4 - Prices & Payment

The price payable for your order will be the price displayed at checkout or stated in the quotation, invoice or order confirmation provided to you.

Any applicable delivery charges, installation charges or other additional costs will be shown or communicated to you before you become liable to pay them.

You are responsible for providing complete and accurate payment, billing and contact information.

We may offer promotional prices or discounts from time to time. Any additional terms applying to a promotion will be provided with the relevant offer.

Section 5 - Deposits

For certain products and projects, we may allow or require a deposit to secure materials, design work, manufacturing capacity or an installation slot.

Where a deposit is required, the amount and payment schedule will be stated in your quotation, invoice or order confirmation.

Unless otherwise agreed, any outstanding balance for goods must be paid by the date specified on your invoice and may be required before dispatch, delivery or installation.

If you cancel an order where you do not have a statutory right to cancel, we may deduct or retain a reasonable amount to reflect costs and losses that we have actually incurred as a result of the cancellation.

We will not impose a cancellation charge or retain a deposit where doing so would be unlawful or unfair.

Section 6 - Made-to-Measure, Bespoke & Personalised Products

Many products supplied by Roma Verandas may be manufactured, cut, configured or otherwise produced specifically for an individual customer's requirements.

This can include products manufactured to specific measurements, colours, configurations or other customer-selected specifications.

Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, the usual cancellation rights applicable to distance contracts do not apply to goods that are made to the consumer's specifications or are clearly personalised.

This exception only applies where the product genuinely falls within the relevant legal definition. The fact that we have ordered or sourced a standard product specifically for you does not by itself necessarily make that product bespoke or personalised.

Where an order is genuinely bespoke, made-to-measure or personalised, you should therefore check your specification carefully before approving it for manufacture.

Nothing in this section affects your rights where goods are faulty, incorrectly manufactured, not as described, not fit for purpose or otherwise fail to comply with your statutory rights.

Section 7 - Changes to Bespoke Orders

Once drawings, measurements, specifications or configurations have been approved and manufacturing has commenced, it may not be possible to make changes to an order.

Where changes are possible, additional manufacturing, material, administration, delivery or installation costs may apply. We will explain any additional charges before proceeding with an agreed change.

Section 8 - Measurements & Customer-Supplied Information

Where a product is manufactured using measurements, drawings or other information supplied or approved by you, you are responsible for checking that the information is accurate before manufacturing begins.

Where Roma Verandas or an appointed surveyor has expressly agreed to carry out a site survey or take responsibility for measurements, responsibility for those measurements will be determined by the scope of the service agreed with you.

Please notify us immediately if you identify an error in measurements or specifications before production begins.

Section 9 - Delivery

Estimated delivery times will be shown on the product page, quotation, order confirmation or otherwise communicated to you.

Lead times for manufactured and made-to-order products are estimates unless a specific delivery date has been expressly agreed.

Where no specific delivery period has been agreed, your statutory delivery rights will apply.

We are responsible for goods while they are being delivered by a carrier arranged by us until the goods come into your possession or the possession of a person you have identified to receive them, subject to applicable law.

Section 10 - Delivery Access

Large structures may require delivery by specialist or large goods vehicles.

You must provide accurate information about any access restrictions that may affect delivery, including narrow roads, low bridges, weight restrictions, steep gradients, restricted turning areas, gates or other obstacles.

Where delivery cannot reasonably be completed because an access restriction was not disclosed to us, reasonable additional costs incurred for redelivery, storage or alternative transport may be charged to you where permitted by law.

Section 11 - Installation Services

Where installation is purchased, the exact scope of installation will be stated in your quotation or order confirmation.

Installation may be carried out by Roma Verandas or by suitably appointed installation partners or subcontractors.

Unless expressly included within your quotation, installation does not include preparatory building work, foundations, electrical work, drainage, landscaping, removal of existing structures or other works outside the agreed installation scope.

Where you are responsible for preparing the installation area, it must be safe, accessible and ready for installation by the agreed date.

Section 12 - Groundworks & Site Preparation

Certain structures require suitable foundations, concrete bases, drainage, electrical supplies or other preparatory works.

Any requirements communicated by Roma Verandas should be followed before installation takes place.

Where groundwork or site preparation is being completed by you or a third party, you are responsible for ensuring that the work is suitable for the structure being installed unless we have expressly agreed to take responsibility for that work.

Additional reasonable charges may apply if an installation cannot proceed because the agreed site preparation has not been completed.

Section 13 - Planning Permission & Building Regulations

Unless expressly included as part of our contracted services, responsibility for determining whether planning permission, building regulations approval or other consent is required rests with the property owner or customer.

Guidance provided by Roma Verandas about planning requirements is general information and should not be treated as formal planning or legal advice.

Requirements can vary according to the property, structure, location and local planning authority.

Section 14 - Inspection on Delivery

Please inspect your order as soon as reasonably possible after delivery and notify us promptly if you identify visible damage, missing components or another problem.

Where possible, photographs of the goods and packaging should be provided to help us investigate the issue.

Failure to report an issue within a particular voluntary inspection period does not remove statutory consumer rights that you would otherwise have.

Section 15 - Faulty Goods & Consumer Rights

Goods supplied to consumers must comply with applicable consumer legislation, including the Consumer Rights Act 2015.

Your legal remedies will depend on the circumstances and may include repair, replacement, price reduction or rejection and refund where the relevant statutory requirements are met.

Any manufacturer's warranty or commercial warranty supplied with a product is provided in addition to, and does not replace, your statutory rights.

Section 16 - Cancellations & Returns

Cancellation and return rights vary depending on whether the product is standard, bespoke or personalised and whether the contract was entered into online, by telephone, at our premises or elsewhere.

Nothing in our Refund Policy or these Terms limits any cancellation, refund or rejection rights that you have under applicable consumer law.

Section 17 - Product Warranties

Where a product is supplied with a manufacturer's or Roma Verandas warranty, the duration and conditions of that warranty will be stated with the relevant product or order documentation.

Warranty cover may be subject to reasonable conditions relating to installation, maintenance, misuse, accidental damage and unauthorised modification.

Commercial warranties do not affect your statutory rights.

Section 18 - Third-Party Installers & Contractors

Where installation or other services form part of your contract with Grounded Fox Ltd, we remain responsible for performing our contractual obligations in accordance with applicable law, including where we use subcontractors to perform those obligations.

Where you independently appoint a contractor or installer who is not contracted by Grounded Fox Ltd as part of your order, that contractor is responsible for the services you purchase directly from them.

Section 19 - Intellectual Property

Unless otherwise stated, the text, photographs, graphics, branding, logos, product imagery, videos, website design and other content appearing on this website are owned by or licensed to Grounded Fox Ltd.

You may not reproduce, distribute, commercially exploit, modify or republish our content without prior written permission except where permitted by law.

Section 20 - Third-Party Tools & Links

Our website may contain links to third-party websites or use services and tools provided by third parties.

We are not responsible for the content or operation of third-party websites that are outside our control.

Your use of third-party services may also be governed by the terms and privacy policies of the relevant provider.

Section 21 - Shopify

Our online store uses technology provided by Shopify.

Unless expressly stated otherwise, products and services purchased through our store are sold by Grounded Fox Ltd and not by Shopify.

Section 22 - Privacy

We process personal information in accordance with our Privacy Policy and applicable data protection legislation.

Certain service providers, including ecommerce, payment and delivery providers, may process information where necessary to provide their services.

Section 23 - Reviews, Photographs & Feedback

Where you voluntarily submit a review, testimonial, photograph or other content for publication, you confirm that you have the right to provide that content.

Where you give us permission to publish or use that content, you grant us a non-exclusive, royalty-free licence to reproduce and display it for legitimate business and marketing purposes, subject to applicable law and any specific agreement made with you.

Section 24 - Errors & Omissions

We may correct genuine typographical, pricing, technical or specification errors appearing on our website.

Where an obvious error affects an order, we will contact you as soon as reasonably possible and explain the available options.

Section 25 - Prohibited Uses

You must not use our website:

  • For unlawful or fraudulent purposes;
  • To infringe intellectual property or other legal rights;
  • To introduce malware, viruses or other harmful code;
  • To interfere with the security or operation of the website;
  • To attempt unauthorised access to our systems; or
  • In any other manner prohibited by applicable law.

Section 26 - Availability of Our Website

We aim to keep our website available and functioning correctly, but we do not guarantee uninterrupted availability.

We may temporarily suspend access for maintenance, security, technical or operational reasons.

Section 27 - Limitation of Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Nothing in these Terms excludes or restricts your statutory rights in relation to faulty goods, misdescribed goods, services that have not been performed with reasonable care and skill or other rights that cannot legally be excluded.

We will not be responsible for losses that were not reasonably foreseeable when the contract was entered into or losses caused by matters for which we are not legally responsible.

Where you purchase as a consumer, we do not exclude liability that applicable consumer law requires us to accept.

Section 28 - Events Outside Our Reasonable Control

Occasionally, circumstances outside our reasonable control may affect manufacturing, delivery or installation. These may include severe weather, transport disruption, supplier interruption, industrial action or other unforeseen events.

Where such an event significantly affects your order, we will take reasonable steps to minimise disruption and will contact you where appropriate.

This section does not remove any statutory rights that apply where goods or services are significantly delayed.

Section 29 - Business Customers

Certain consumer rights referred to throughout these Terms apply only where you are purchasing wholly or mainly for purposes outside your trade, business, craft or profession.

If you purchase goods or services primarily for business purposes, different legal rights and contractual terms may apply.

Section 30 - Severability

If any provision of these Terms is found to be unlawful or unenforceable, that provision will be treated as modified or removed to the minimum extent necessary, and the remaining provisions will continue to apply.

Section 31 - Entire Agreement

These Terms, together with your quotation, order confirmation and any policies expressly incorporated into your contract, form the agreement between you and us in relation to your purchase.

Nothing in this section limits liability for fraudulent misrepresentation or any other liability that cannot lawfully be excluded.

Section 32 - Changes to These Terms

We may update these Terms & Conditions from time to time.

The Terms applying to an order will generally be those in force when the relevant contract was entered into, unless a change is required by law or otherwise agreed with you.

Section 33 - Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales.

If you are a consumer, you will retain any mandatory legal rights regarding where proceedings may be brought and the law applicable to your contract.
